1Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Sintetico Inc., a Delaware corporation ("Sintetico," "we," "us," or "our"), governing your access to and use of the Auspio platform, including our website at auspio.ai and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2Description of Service
Auspio is a real estate lead intelligence platform that analyzes publicly available data sources to identify properties with indicators of a potential sale. The Service includes:
- Aggregation and analysis of publicly available government and property data
- Proprietary scoring algorithm that ranks properties by likelihood of sale
- Regularly updated lead lists with property and owner details
- Lead saving and notes functionality
The Service is a data analytics and software tool. It does not provide real estate brokerage services, property appraisals, or real estate advice.
3Account Registration
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
You must be at least 18 years old and hold a valid real estate license or be a licensed professional with a legitimate business need for property intelligence data (e.g., mortgage lenders, title companies, home service providers) to use the Service.
4Subscription & Billing
Subscription Plans
The Service is offered through a monthly subscription. Current pricing is available at auspio.ai.
Billing
- Subscriptions are billed in advance on a monthly basis
- All fees are non-refundable except as expressly stated in these Terms
- We may change pricing with 30 days' notice to your registered email address
- Charges will appear on your credit card or bank statement as "Sintetico Inc." or "Auspio." Auspio is a product of Sintetico Inc.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your Stripe billing portal.
5Data Accuracy and Limitations
Auspio aggregates data from public sources. While we strive for accuracy, we do not guarantee that:
- Public records and data sources are complete, accurate, or up to date
- Our scoring algorithm will accurately predict which properties will sell
- Property owner information is current
- All relevant data signals are captured
The Service is an intelligence tool to help identify potential leads. It does not guarantee outcomes. You are responsible for independently verifying all information before taking action.
6Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or real estate industry codes of conduct
- Harass, stalk, or intimidate property owners
- Scrape, crawl, or systematically download data from the Service
- Redistribute, resell, or share your account access with others
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any systems
- Use the Service for any purpose that violates fair housing laws
Outreach and Communications Compliance
You are solely responsible for ensuring that any outreach you conduct using information obtained through the Service complies with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state and federal Do-Not-Call registry requirements, state telemarketing and text messaging laws, and any applicable real estate industry rules or codes of ethics. Sintetico Inc. does not direct, control, or authorize any communications you make to property owners or other third parties. The Service provides data only; all decisions regarding outreach methods, timing, frequency, and content are yours alone.
We reserve the right to suspend or terminate your account for violation of this Acceptable Use Policy.
7Intellectual Property
Our Rights
The Service, including our scoring algorithm, software, designs, and other content, is owned by Sintetico Inc. and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your Content
You retain ownership of any notes, tags, or other content you create through the Service. You grant us a limited license to store and process this content solely to provide the Service.
Public Records
Public records data sourced from public sources remains in the public domain. Our proprietary value lies in the aggregation, analysis, scoring, and presentation of this data, not in the underlying public records themselves.
8Data Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
9Service Availability
We strive to maintain high availability and regular data updates, but do not guarantee uninterrupted access to the Service. Data freshness depends on the update frequency of our underlying data sources. We may temporarily suspend the Service for maintenance, upgrades, or circumstances beyond our control.
10Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUR LEAD SCORING WILL ACCURATELY PREDICT PROPERTY SALES.
11Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINTETICO INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12Indemnification
You agree to indemnify, defend, and hold harmless Sintetico Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, any outreach or communications you conduct based on information obtained through the Service, or any claims by third parties resulting from your use of data provided by the Service.
13Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your Stripe billing portal. We may terminate or suspend your account immediately for violation of these Terms or for any other reason at our sole discretion.
Upon termination:
- Your access to the Service will be revoked
- You remain responsible for any outstanding charges
- No refunds will be issued for any prepaid subscription fees, including in the event of termination by us, except where required by applicable law
- We will retain your data for 30 days, after which it may be deleted
- You may request a copy of your saved leads and notes before deletion
14Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
15Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
16General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sintetico Inc. regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
